These Terms govern your use of the Woopo desktop app, store, and related services ("Woopo", "we", "us"). By creating an account or using Woopo, you agree to these Terms.
1. Your account
You must provide accurate information and keep your login secure. You're responsible for activity under your account. One person or organization per account.
2. Your license to plugins (buyer EULA)
When you buy or claim a plugin, its developer grants you a personal, worldwide, non-exclusive, non-transferable license to download, install, and use it on machines you own or control, up to the activation limit shown in the app (a small number of simultaneous machines).
What your license includes:
- Commercial use. You may use the plugin, and any sounds, presets, or audio it produces, in your own music, productions, and commercial releases, royalty-free.
- Updates. While your license is active you receive the updates the developer publishes, at no extra charge.
- Free plugins.Plugins you claim for free are licensed the same way, for as long as they're offered.
- Rent-to-own.On a rent-to-own plan you're licensed while your payments are current; if you pause, the license may pause too (you keep the progress you've paid). Completing all payments converts it to a full, permanent license.
- Demos. Demo or trial builds are for evaluation only and may be limited or time-restricted.
Restrictions.You may not resell, rent, share, sublicense, or redistribute a plugin or its license; share your account; or bypass, crack, reverse-engineer, or circumvent the licensing, activation, or watermarking. Each plugin is made by an independent developer who may include their own license terms; where those add to or are stricter than these Terms, they also apply to that plugin. The plugin remains the developer's intellectual property; you're licensed to use it, not sold the underlying rights.
3. Payments, refunds & chargebacks
Payments are processed by Stripe; by purchasing you also agree to Stripe's terms. Prices are shown before checkout. Paid plugins can be refunded in full within 14 days of purchase as long as you haven't downloaded them, and faulty or not-as-described plugins are covered for 30 days. Full details, including how bundles and Rent to Own work, are in our Refund Policy. If you initiate a chargeback or dispute instead of requesting a refund, the associated license may be revoked and access to the plugin removed.
4. Selling on Woopo (developers)
If you're approved to sell, you confirm you own or have the rights to the plugins you list and that they don't infringe anyone's rights or contain malware. Payouts are handled via Stripe Connect; Woopo retains a platform fee (shown on your developer dashboard) and pays out the remainder to your connected account. You're responsible for your plugin's functionality, support, and any taxes on your earnings. We may remove listings that violate these Terms.
Redeem keys & free copies. Woopo lets you generate one-time redeem keys and send free copies of your own plugins for promotion: giveaways, reviewers, bundles, and support. These are for promotional use only. You may not sell, auction, or otherwise trade redeem keys for payment, on Woopo or anywhere else, or use them to route paid sales off-platform to avoid the platform fee. Every key is logged; abuse, including reselling keys or mass-minting to circumvent fees, may result in keys being revoked and your developer access removed. Key generation is capped per plugin; contact us to raise the limit for a legitimate campaign.
5. Acceptable use
Don't use Woopo for anything illegal, don't attempt to break or probe the service or other users' security, and don't upload malicious code. We may suspend or terminate accounts that violate these Terms or harm other users.
6. Intellectual property
Plugins remain the property of their respective developers. The Woopo app, brand, and platform are our property. Reviews and content you submit remain yours, but you grant us a license to display them within the service.
7. Disclaimers & limitation of liability
Woopo and the plugins are provided "as is", without warranties of any kind. To the maximum extent permitted by law, we are not liable for indirect or consequential damages, and our total liability is limited to the amount you paid us in the 12 months before the claim.
8. Termination
You may stop using Woopo and delete your account at any time (Account → Delete account). We may suspend or terminate access for violations of these Terms.
9. Governing law
These Terms are governed by the laws of the Province of Québec and the applicable laws of Canada, without regard to conflict-of-laws rules.
10. Changes
We may update these Terms; material changes will be reflected by the "Last updated" date. Continued use after changes means you accept them.
